1.1 These Terms of Service (ToS) govern the relationship between VNC – Virtual Network Consult AG, Poststrasse 24, 6302 Zug, Switzerland ("VNC") and the Customer for the use of the VNClagoon sovereign software suite.
2.1 SaaS (Cloud): Where VNC hosts the service, VNC is responsible for the technical availability (SLA 99.5%) and backend security. The Customer acts as the Data Controller as per the separate DPA.
2.2 On-Premise: Where the Customer installs VNClagoon on its own infrastructure, the Customer is solely responsible for server administration, hardware, firewall security, and data backups. VNC's role is limited to providing software updates and second-level support.
3.1 Professional licensing is conducted on a "per-user" (seat) basis. The Customer is prohibited from sharing user accounts across multiple individuals.
3.2 Software Audits: For On-Premise deployments, VNC reserves the right to request a license verification report or conduct a remote audit once per year to ensure the number of deployed seats matches the purchased volume.
4.1 Open Source: Components released under AGPL/GPL are governed by their respective licenses. However, these ToS govern the enterprise support, compiled clients, and proprietary extensions (e.g., VNCuxf, AI integration).
4.2 Reverse Engineering: The Customer shall not attempt to decompile, reverse engineer, or bypass the license management mechanisms of the proprietary components.
5.1 Liability is limited as per Art. 100 CO (Switzerland). Total liability is capped at 100% of the annual fees paid. Indirect damages and loss of profit are excluded.
5.2 Applicable Law: Substantive laws of Switzerland. Venue: Zug, Switzerland.
